1. Parties and purpose
This agreement is between PakLeap ("PakLeap") and the school, organisation or person who receives it (the "Recipient"). Each may share confidential information with the other so they can evaluate, set up, pilot or use PakLeap together (the "Purpose").
2. What counts as confidential information
Anything one side shares that is marked confidential or that a reasonable person would understand to be confidential. For PakLeap this includes unreleased features, source code, designs, pricing proposals, security details and roadmaps. For the school it includes student, parent and staff records, fee and financial data, internal reports and plans.
It does not include information that is already public through no fault of the receiving side, that the receiving side already knew or independently developed, or that it received lawfully from someone else without a duty of confidence.
3. What each side promises
Use the other side's confidential information only for the Purpose. Share it only with people who need it for the Purpose and who are bound to keep it confidential. Protect it with at least the care used for one's own confidential information, and never less than reasonable care.
Do not copy, reverse engineer or try to extract source code, data or security details from the other side's systems, and do not use the information to build a competing product.
4. Personal data of students and staff
Student, parent and staff records stay in the school's own account. PakLeap staff may look at them only when the school asks for support or when needed to keep the service running, and treat them as confidential under this agreement and the Privacy Policy.
5. Required disclosure
A side may disclose confidential information if a law, court or regulator requires it, provided it tells the other side first where the law allows, and discloses only what is required.
6. Returning or deleting information
When the Purpose ends, or when asked in writing, each side returns or deletes the other's confidential information, except copies it must keep by law or that sit in routine backups until they expire. Those copies stay confidential.
7. How long it lasts
The duties in this agreement last for three years from the date it is accepted. Duties about student, parent and staff personal data continue for as long as the information is held.
8. General
Nothing here gives either side ownership of the other's information or any licence beyond the Purpose, and it does not oblige either side to buy or sell anything. It is governed by the laws of Pakistan. Questions or requests for a signed copy: support@pakleap.com.
